EXPLANATORY NOTE

This Amendment No. 1 on Form 10-Q/A is being filed by CopyTele, Inc. to correct the box checked on the cover page to indicate that the Company is a smaller reporting company. The Company erroneously indicated it was a non-accelerated filer on the cover page of the Form 10-Q filed with the Securities and Exchange Commission on June 14, 2010. There were no other changes to the Form 10-Q.
